Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the products, services, and applications (“Services”) provided by Spare Parts Labs, Inc. (“Spare Parts,” “we,” “us,” or “our”). By downloading our mobile application, accessing our website, or otherwise using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 13 years of age (or the minimum age required in your jurisdiction) to use the Services. By using the Services, you represent that you meet this requirement. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Accounts

To access certain features of the Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at hello@sparepartslabs.com if you suspect unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these Terms.

You may sign in using third-party authentication providers such as Google. By doing so, you authorize us to access certain information from your third-party account as described in our Privacy Policy.

3. Use of the Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Services in any way that violates applicable laws or regulations.
• Transmit any material that is harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable.
• Attempt to gain unauthorized access to any portion of the Services or any related systems or networks.
• Reverse engineer, decompile, or disassemble any part of the Services.
• Use the Services to transmit spam, malware, or any other malicious content.
• Interfere with or disrupt the integrity or performance of the Services.
• Scrape, crawl, or otherwise extract data from the Services without our prior written consent.

4. Intellectual Property

All content, features, and functionality of the Services — including but not limited to software, text, graphics, logos, and icons — are the exclusive property of Spare Parts Labs, Inc. or its licensors and are protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

5. User Content

You retain ownership of any content you submit or upload through the Services (“User Content”). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, and process your User Content solely to provide and improve the Services. You represent that you have the rights necessary to grant this license and that your User Content does not violate any third-party rights.

6. Third-Party Services

The Services may contain links to or integrations with third-party websites, services, or applications. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

7. Mobile Applications

Our mobile applications are available on Apple’s App Store and Google Play. Your use of those applications is also subject to the applicable terms of Apple Inc. and Google LLC. In the event of a conflict between these Terms and the applicable platform’s terms, the platform’s terms will govern with respect to your use of that platform’s services.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR THAT DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SPARE PARTS LABS, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) $100 USD OR (B) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Spare Parts Labs, Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination — including intellectual property, disclaimer of warranties, limitation of liability, and indemnification — shall survive.

12. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the effective date above and, where appropriate, by in-app notification or email. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.
